2011

Transaction Summary
Strata advised the shareholders of MinPlus-CDEM Group B.V. on its split sale to Voith AG, a leading supplier of process equipment to the global paper industry and AVR, a private equity backed Dutch Waste-to-Energy company.
Background
- Strata acted as exclusive financial adviser to the shareholders of the Minplus-CDEM group of companies (“MinPlus-CDEM”) on the carve out and sale of the patent portfolio and related process technology to Voith AG. As part of the overall transaction, an incineration plant at Duiven, Netherlands was also sold to the KKR-backed waste processing company AVR
- MinPlus-CDEM had developed a unique thermal conversion technology that produces zero-carbon, green energy and valuable mineral products from industrial wastes that would otherwise require landfill or incineration at high cost
- MinPlus-CDEM comprised:
- a waste-to-energy plant in Duiven
- a product trading company in the United States, and
- An intellectual property holding company owning both design and product patents
- Strata was hired because of our proven track record and established senior relationships within the cleantech / renewables space and our additional relationships with major industrial groups worldwide. Strata was also chosen for its capability to structure and execute complex, multi-jurisdictional transactions involving an extensive universe of potential buyers / investors
Transaction Highlights
- Strata structured, managed and successfully completed a complex carve out, multi-jurisdictional transaction with two parties simultaneously, securing an exceptionally good result for shareholders
- Through senior relationships with both multinationals and Private Equity players, Strata rapidly secured the interest of key potential purchasers and investors – thereby ensuring competitive tension from the outset
- Through rigorous structuring, an exceptional value outcome was achieved – selling the patent portfolio to one of the largest strategic players in the sector, simultaneously selling the waste-to-energy plant to a PE backed waste company while keeping ownership of the operating product company, thus enabling a potential secondary sale over the next 5 years
